ABM Terms & Conditions

Introduction 

We are the Association of Business Mentors LTD (referred to as “ABM,” “Company,” “we,” “us,” or “our”), a company registered in England under company number 07533326. Our registered office is located at The Cedars, School Lane, Great Barton, Bury St. Edmunds, England, IP31 2RQ, and our VAT number is GB 456 6940 55. 

By joining the Association of Business Mentors as a Subscription Member (hereinafter referred to as a “Member”), you agree to be bound by these terms and conditions (the “Terms”). 

We operate the website https://www.associationofbusinessmentors.org/ (the “Site”) and provide related products and services that reference or link to these Terms (collectively referred to as the “Services”). These Services include membership for professional business mentors and a public directory where members’ services can be requested by website visitors.

Acceptance of Terms 

These Terms form a legally binding agreement between you, whether as an individual or representing an entity, and ABM. By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to all the Terms, you are expressly prohibited from using the Services and must discontinue use immediately. 


PRODUCTS 

All products are subject to availability. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change. 


Membership 

Eligibility  

Eligibility for membership depends on the type of membership an individual applies for. Detailed criteria for each membership type can be found on our website. By applying for membership, you confirm that you possess the qualifications, skills, or experience required for membership. 


Membership Types 

1. Individual Membership – This membership type is designed for individual professional business mentors. Our current individual memberships are Affiliate, Member and Fellow.

Benefits include: 

  • Listing on the “Find a Mentor” directory. 
  • Professional resources and networking opportunities. 
  • Access to member-exclusive events and services. 
 
 2. Organisational Membership – This membership type is available for organisations that wish to become affiliated with ABM. 
Organisations will receive:
  • Access to resources and tools tailored to the needs of businesses and teams. 
  • Recognition as an ABM organisational member. 
  • Opportunities for networking and collaboration with individual members.

Application and Acceptance 

Membership applications are subject to review and approval by ABM. We reserve the right to accept or reject applications at our discretion. Upon acceptance, you will receive confirmation of your membership and details of how to access the Services. 

 

Fees and Payment 

  • Payment of Membership Fees:
    • Membership fees are payable annually to maintain active membership status. Starting from 27th of January 2025, membership fees will be collected via Direct Debit unless otherwise agreed. Members are required to set up a valid Direct Debit (DD) mandate to ensure uninterrupted membership. Current members switching to Direct Debit will have the change take effect at their renewal date. 
  • Non-Refundable Fees: 
    • All membership fees are non-refundable, except as required by law. 
  • Adjustments to Membership Fees: 
    • ABM reserves the right to adjust membership fees. Any changes will be communicated to you with at least 30 days’ prior notice, sent to your registered email address. 
  • Payment Changes and Notifications: 
    • Should ABM make changes to the payment collection method; members will be provided with advance notice and clear instructions. Members must ensure their payment details and contact details are up-to-date to avoid any disruption to membership services. 
  • Failure to Pay: 
    • If a membership fee remains unpaid after the due date, ABM reserves the right to suspend or terminate membership services until payment is received. 

 

Direct Debit Guarantee 

Payments made via Direct Debit are covered by the Direct Debit Guarantee. This guarantees that: 

  • You will be notified of the amount and date of any payment in advance (usually 3 working days). 
  • If an error is made in the payment of your Direct Debit, by ABM or your bank, you are entitled to a full and immediate refund from your bank. 
  • You can cancel your Direct Debit at any time by contacting your bank or building society. Please also notify us to ensure no disruption to your membership.

Membership Responsibilities 

As a Member, you agree to: 

  • Comply with these Terms and any additional rules or guidelines provided by ABM. 
  • Maintain accurate and up-to-date information in your membership profile. 
  • Conduct yourself professionally and ethically in alignment with ABM’s standards. 
 

Refunds, Renewal and Termination 

  1. All membership fees are non-refundable. Once a membership payment has been processed, it cannot be refunded other than for exceptional reasons. While memberships are non-refundable, you have the option to cancel your membership at any time. Please note that cancellation will prevent any future billing, but it will not entitle you to a refund of any portion of your membership fee. 
  2. Membership is renewed automatically each year unless you provide written notice of cancellation at least 30 days prior to the renewal date. 
  3. ABM may terminate your membership immediately if you breach these Terms or engage in conduct detrimental to the organisation or its Members. 
 

Changes to Membership Terms 

ABM reserves the right to update or amend membership terms at its discretion. Members will be notified of significant changes via email. Continued use of the membership benefits after the changes take effect constitutes acceptance of the revised terms. 

 

Adherence to Ethics and Frameworks 

Members are expected to fully adhere to the Global Code of Ethics, which the ABM signed on November 24, 2021. Proof of the signature can be found here. Members are also required to adhere to ABM’s Professional Framework. This framework outlines the ABM’s Standards, Code of Conduct for members, and the ABM’s complaints process. 

Breaches of the Global Code of Ethics and ABM’s Professional Framework, including the ABM’s Standards and Code of Conduct for members, may result in loss of membership.

 

Use of ABM branded material as a Subscriber 

  1. As a Member of ABM, you may indicate your membership level on your website and in marketing materials, including the use of any relevant post-nominal designations. However, you are not permitted to use the ABM logo or other branding elements (such as logos, colour schemes, or distinctive marks) without obtaining prior written consent from ABM.
  2. If permission is granted, you must adhere to ABM’s branding guidelines and any specific instructions provided. You must also ensure that your use of the ABM name or branding does not imply endorsement of any event, service, or product without explicit authorisation.
  3. Members are strictly prohibited from engaging in any activity that could harm or undermine the reputation of ABM or its intellectual property. Any goodwill generated from the use of ABM branding will accrue exclusively to ABM.
  4. ABM reserves the right to revoke permission to use its branding at any time and for any reason 
  5. Failure to comply with these terms constitutes a material breach of the Membership agreement. In such cases, ABM reserves the right to terminate your Membership immediately, with no refund of fees.
 

Intellectual Property and Use of Website Materials 

Ownership of Materials 

All intellectual property rights in the materials provided on the ABM website (the “Materials”) are owned by ABM. These Materials are made available for personal use only and must not be used for commercial purposes without prior written consent. 

 

Permitted Use 

Website users must comply with the following rules regarding the use of Materials: 

  1. You may not copy, modify, reproduce, or distribute any Materials without prior written consent from ABM. 
  2. Materials must not be used for purposes other than personal, non-commercial use. 
  3. Copyright or other proprietary notices included in the Materials must not be removed or altered. 
  4. Reverse engineering, decompiling, or disassembling any software on the website is prohibited unless expressly permitted by law. 

 

Third-Party Links 

The website may contain links to third-party websites for convenience. ABM is not responsible for the content, accuracy, or operations of these third-party sites. Users are advised to exercise caution and take appropriate security measures when accessing these links or interacting with external content. 

 

Disclaimer of Warranties 

ABM does not guarantee the accuracy, completeness, or suitability of the Materials provided on the website. The Materials may contain errors or inaccuracies, and ABM excludes liability to the fullest extent permitted by law. Any opinions or statements expressed by individuals on the website do not necessarily reflect the views of ABM. 

 

Breach of Terms 

Failure to comply with these terms may result in restricted access to the website or other actions as deemed necessary by ABM. 

 

Goodwill and Reputation 

Users must not engage in any activity that could harm or undermine the reputation of ABM or its intellectual property. Any goodwill arising from the use of website Materials will accrue solely to ABM 

 

Liability 

Personal Use Only 

Our services are provided solely for personal use. We do not accept liability for any loss of profit, business interruption, or loss of business opportunities arising from the use of our services. All ABM members listed in the Find a Mentor directory maintain professional indemnity (PI) insurance to ensure adherence to professional standards. 

 

Liability for Loss or Damage 

We are not responsible for foreseeable loss or damage resulting from a breach of these Terms or negligence. Specifically, we are not liable for: 

  • Loss or damage that was not foreseeable at the time you agreed to these Terms. 
  • Issues arising from third-party services or providers. 
  • Any misuse of the Website or our services. 
  • Loss or damage resulting from fraudulent communications or unauthorised access. 

 

Exclusions and Exceptions 

Nothing in these Terms and Conditions excludes or limits any person’s liability where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence or for fraud.  

 

Exclusion of Implied Terms 

Except as explicitly stated in these Terms, all implied conditions, terms, and warranties are excluded to the fullest extent permitted by law. 

 

Statutory Rights 

These Terms do not affect your statutory rights as a consumer under applicable law. 

 

Data Protection 

By agreeing to these Terms, you acknowledge that we will collect and process your personal data as outlined in our Privacy Policy, available on our website through this link here.

 

Amendments to Terms and Conditions 

ABM reserves the right to amend these Terms and Conditions at any time. Members will be notified of any changes, and continued membership and use of ABM services will be deemed as acceptance of the new terms.
